Heads of terms are used to provide an outline of the main commercial points of a transaction. These points are essential to the deal or particular to the property. Because the nature of heads of terms is that they deal with commercial issues, they are usually not drafted to favour one party or the other: they simply reflect the commercial deal. You can find more about this on the British Property Foundation's website, which contains the Commercial Leasing Code 2007.
